AFFILIATE AGREEMENT
This is a legal agreement between you (“Affiliate”) and Bindlestiff Tours(“BT”), where you will market products supplied by BT through the internet in return for a commission (defined below). By selecting the “Agree to our Terms of Use and Privacy Policy” button at the end of this agreement, you are agreeing that you have read and understood the terms and conditions in this agreement and that you will be legally responsible for every term and condition.
The terms “Affiliate,” “you,” and “your” refer to the applicant. The terms “we” and “our” refer to Bindlestiff Tours. “Products” refers to the products and services provided by Bindlestiff Tours.
We act as independent parties and this agreement does not form any partnership or joint venture.
Agreement Duration
The term of the Agreement will be the duration of our business together. There is no need for the Agreement to renew or discontinue after the initial Agreement unless a 30-day written notice is given after the initial registration.
Termination may happen with or without cause within this term with a 30-day written notice from either party.
Business Requirements
In order to be considered for our Affiliate Program, the applicant must be a valid business owner, corporation, proprietor, DBA, or representative within the travel and tourism industry.
Commission
Affiliate will receive a 10% commission of the total retail amount of each fulfilled reservation from their referrals purchase. Any fees or upgrades added to the retail price of the products are non-commissionable. Fulfilled reservations are defined as reservations that have been operated and paid in full.
For a sale to generate a commission for an Affiliate the referral must complete the tour and payment must be submitted in full. A commission will not be earned on canceled, no-shows or proposed bookings.
The commission can only be earned between the acceptance of the Affiliate application and the termination date.
Payment of commission is paid in USD. Commission fees shall be paid on the 5th and 20th of each month following the date in which each product purchase is completed as a fulfilled reservation. Please print and fill out tax form W-9 (domestic) or form W-8BEN (foreign) and email it to it@bindlestifftours.com
BT makes no guarantee or warranty as to the amount of Commission fees that may be generated by the Affiliate’s participation in the Affiliate Program.
The affiliate is to create a username and password on our secure portal located at https://www.bindlestifftours.com/affiliate-area/. The dashboard will provide an overview of your sales statistics, reports, and other information, in addition to the graphics and HTML codes that allow you to create links from your website to ours. Affiliate agrees that the sales statistics and reports are the final determinates of the bookings for which commissions will be calculated.
Marketing and Booking BT Products
Affiliates have 1 option to market and book BT products.
Option 1: Online Affiliate Program – BT provides a marketing resource portal through which affiliates are supplied with banners and text hyperlinks for their website. These banners and text links will redirect your referrals to products on BT’s website to complete their reservation. Affiliates can use this resource portal to track their referrals’ activity and also the reservations submitted by their referrals.
Order Processing
BT will be solely responsible for the processing of all orders placed by an Affiliate’s referrals on the Affiliate’s site. Availability of our products and services may vary from time to time and price is always determined by BT. We maintain the right to reject any order that does not comply with our rules, policies, or operating procedures.
Product Marketing
Affiliate will market Products to its referrals by providing links from Affiliate’s website to BT’s website www.bindlestifftours.com. Affiliate is authorized to promote the Products, subject to the terms and conditions in this agreement.
Referrals of the Affiliate are provided the same benefits and level of service as any other BT customer.
BT will provide Affiliate with a uniform resource locator (“URL”) through which Affiliate can track the Product purchases of Affiliate referrals.
BT has the right to monitor the Affiliate’s website to ensure the HTML links to BT’s site are appropriate. If BT determines that the HTML links on Affiliate’s website to BT’s website are not appropriate, then BT will either notify Affiliate of any needed changes or alternatively may terminate this Agreement with a 30-day written notice to Affiliate. If, in the event, BT notifies Affiliate of changes to be made to the HTML links and such changes are not made within 5 calendar days, BT may immediately terminate this Agreement with written notice to Affiliate.
Website Restrictions
Affiliate’s domain name shall not include the words “Bindlestiff Tour(s),” nor will Affiliate purchase any domain name or other rights to exploit the BT name and the names of their sister companies and products for the purpose of having Affiliate website appear as a search result or for any other reason.
INTERNET PROMOTIONS AND ADVERTISEMENT
BT has the right to not accept any website into the Affiliate Program based on the site content. Sites that do not qualify for the Affiliate Program include, but are not limited to sites that are:
- X-rated or promote sexually explicit material
- Promote violence
- Promote discrimination based on race, sex, religion, sexual orientation, nationality, disability, political preference or age
- Promote illegal or questionable activities
- Violate intellectual property rights
BT does not, in any way, participate in unsolicited e-mailing (i.e. spamming) and Affiliate is expected to adhere to the same policy. Violation of this policy results in immediate termination of this Agreement.
Affiliate may not place links to BT on any third-party newsgroups, message boards, blogs, unsolicited e-mail and other forms of spam, link farms, counters, chat rooms, or guestrooms. For additional information on the CAN SPAM ACT OF 2003, see here
Affiliate will be responsible for all usage and activity on your account and for the loss, theft or unauthorized disclosure of your password. You shall provide BT with immediate written notification of any known or suspected unauthorized use of your account or breach of the security of your account.
It is the responsibility of the Affiliate to follow all applicable copyright and trademark laws that pertain to your site. To use another person’s copyrighted or trademarked material, you must have express permission and we will not be held responsible if you use another person’s copyrighted or trademarked material in violation of the law.
Affiliate and BT agree that use of other party’s name in promotional activities to include Press Releases or other related activities will not be used unless consent is obtained from the other party.
Maintain Your Site
It is the responsibility of the Affiliate to maintain and update their site. Since the information on BT’s site is updated regularly, it is your responsibility as an Affiliate to update the content of your site on a regular basis to maintain consistency and accuracy between your site and ours.
Affiliate agrees that they will not copy or resemble the look and feel of BT’s site. You will not create the impression that your site is our site or a part of our site in any way.
Confidentiality and Privacy Policy
Unless consent is obtained, each party agrees that all information concerning the other party to include, without limitation, the terms of this Agreement, business and financial information, customer lists, and pricing and sales information, will stay confidential and not used, directly or indirectly, for any purpose except when necessary to complete obligations in this Agreement or if the information is known or publicly available.
Affiliate must clearly post your privacy policy on your site and make it available to all visitors to your site. Your privacy policy must meet the terms of all laws and regulations regarding the privacy of visitor information.
Disclaimers
BT WILL NOT BE HELD LIABLE FOR ANY INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES FOR ANY LOSS OF REVENUE, PROFITS, OR DATA ARISING IN CONNECTION WITH THIS AGREEMENT.
BT MAKES NO EXPRESS OR IMPLIED WARRANTIES THAT THE OPERATION OF THEIR WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE AND BT WILL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS.
BT WILL NOT SELL AFFILIATE REFERRAL LISTS TO ANY THIRD PARTY. AFFILIATE UNDERSTANDS THAT BT MAY SOLICIT REFERRALS THAT MAY DIFFER FROM THE TERMS IN THIS AGREEMENT TO ENCOURAGE DIRECT BUSINESS.
BT RESERVES THE RIGHT TO UPDATE THESE TERMS AT ANY TIME AND WITHOUT NOTICE
